Pilot terms
Last updated [date]
Draft for the pilot. Items in [brackets] are to be completed, and the whole text reviewed by counsel before it is shared.
These terms cover your firm's use of Copinion during the pilot, between [legal name of the provider] ("we") and [pilot partner firm] ("you").
1. What the pilot is
Copinion is pre-release software offered to a small number of firms to try on real work and tell us what to improve. Features will change, and some may be removed. We may pause or end the pilot on [notice period] notice; you may stop at any time.
2. Your professional judgment
Copinion prepares statements, tie-outs and suggestions (including AI-assisted mapping and transaction review) to support your work. It does not replace it. You remain responsible for reviewing the output, for the statements you issue, and for compliance with the professional standards that apply to you. The checks it shows are aids to review, not assurance.
3. Your data
You keep all rights in the files you upload and the statements produced from them. We use them only to provide Copinion to you, as described in the privacy notice, and not to train AI models. When the pilot ends, or on request, we delete your data within 7 days, except where the law requires us to keep it.
4. Confidentiality
Each of us keeps the other's confidential information confidential. For you, that includes your clients' data; for us, the unreleased features and pricing you see in the pilot. Feedback you send may be used to improve Copinion without obligation, and without identifying you or your clients.
5. Accounts and access
Accounts are for named people at your firm. Keep passwords private and tell us promptly if you think an account has been misused.
6. Fees
[The pilot is free of charge.] [Any pricing after the pilot will be agreed separately.]
7. No warranty; limits
Copinion is provided "as is" during the pilot, without warranties of any kind to the extent the law allows. [Limitation of liability to be completed by counsel.]
8. General
[Governing law, entire agreement and notices to be completed by counsel.]
